Regulatory status

Prassas Capital, LLC is an investment adviser registered with the Utah Division of Securities (CRD No. 129979), with its principal office in Draper, Utah. Registration does not imply a certain level of skill or training, and does not constitute approval or endorsement by any regulator.

Jurisdiction

Prassas Capital provides advisory services only to residents of Utah and of other states where the firm is registered or exempt from registration. Telephone numbers with non-Utah area codes are provided for client convenience and do not indicate a place of business in those states. Nothing on this website is a solicitation to provide advisory services in any jurisdiction where the firm is not registered or exempt.

Compensation

Prassas Capital is compensated solely by its clients. The firm does not accept commissions, referral fees, or other compensation from DST sponsors, broker-dealers, or qualified intermediaries.

The firm charges one transaction-specific advisory fee per engagement. For each engagement the fee is stated as a fixed dollar amount in a written agreement, agreed before any investment recommendation is delivered, and it does not change with investment performance, distributions or the eventual sale of the property.

The fee is payable when the replacement property is acquired, ordinarily the client’s only liquidity event in the exchange. The client directs their qualified intermediary to pay it from exchange proceeds. Prassas Capital has no authority to direct, withdraw or hold exchange funds. For DST interests offered through the adviser channel, the sponsor removes from the purchase price the selling commission that would otherwise go to a broker-dealer, and the advisory fee is paid in place of that commission. Every sponsor offers both a broker version and an adviser version of the same trust. An investor who buys through a broker pays that commission in the purchase price either way.

Ongoing monitoring and client advocacy for the life of the investment are included and are never billed separately. Full details are in Form ADV Part 2A, Item 5.

No offer of securities

Delaware Statutory Trust interests are offered by their sponsors only through a private placement memorandum, generally to accredited investors only. Nothing on this website is an offer to sell, or a solicitation of an offer to buy, any security. References to sponsors, programs, or properties are for illustration only and are not recommendations.

Nature of website content

Content on this website is general educational information about DSTs and 1031 exchanges. It is not individualized investment advice. Prassas Capital provides advice only under a written advisory agreement, after reviewing a client’s specific circumstances.
